elastudio Terms of Service for Studios

Version 1.5. Effective date: 27 October 2026. Version 1.5 adds no fee or obligation for you and removes none of your rights: it names the European Economic Area in section 2, says in section 7 that support is in English and Brazilian Portuguese only, updates section 8 to describe the elastudio credit on member pages as it appears today (the elastudio logo, linking to elastudio.app, instead of a “powered by elastudio” line), and says in section 17 that translations are for information only. Version 1.4 applied from 25 October 2026 and added section 18 (trademarks and copyright). Version 1.3 applied from 14 October 2026. Version 1.2 was the first version for the live elastudio service, from 13 October 2026. Versions 1.0 and 1.1 were used only before elastudio went live. A studio that accepted an earlier version is asked to accept this version. For such a studio, this version applies when it accepts it in the dashboard or, for changes covered by section 15, 30 days after we notify it, whichever comes first.

These terms are an agreement between you, the studio business that signs up for elastudio, and Edilson Brito Bezerra Junior, operating as BRITO.AI, a sole proprietorship registered in Ontario, Canada, which operates elastudio (“elastudio”, “we”, “us”). BRITO.AI is registered under Ontario’s Business Names Act. GST/HST registration number: 786293639 RT0001. Mailing address: 73 Watt Street, Guelph, Ontario N1E 6W6, Canada.

By creating a studio account or using elastudio, you accept these terms and our Data Processing Agreement (the “DPA”), and acknowledge our Privacy Policy. Accepting online has the same effect as signing. If you accept for a business, you confirm you are allowed to bind it. We keep a record of the version you accepted and when, and you can download these terms at any time.

1. What elastudio is

elastudio is online software that helps yoga, pilates and similar studios publish a class schedule, take bookings, sell passes and memberships, take payments through the studio’s own payment account, and manage members and staff. It includes a member booking site, a booking widget for the studio’s own website, and a studio dashboard.

elastudio is a tool. Your studio remains the business your members deal with. You set your classes, prices, policies and terms with your members. We are not a party to any sale between you and your members, and we are not a marketplace, a payment provider or a bank.

2. Your account

  • You must be at least 18 and running a real business (which may be a sole proprietorship or an individual teacher).
  • Give us accurate information, including your billing country and, in Canada, your province, and keep it up to date.
  • You are responsible for everything done under your studio account, including by staff you invite. Give each staff member only the role they need, and remove access when they leave.
  • Keep sign-in methods secure and tell us at security@elastudio.app straight away if you suspect someone has accessed your account without permission.
  • We do not currently accept studios located in Quebec (see section 17), the European Union, the rest of the European Economic Area (Iceland, Liechtenstein and Norway) or the United Kingdom.

3. Plans, trial and limits

elastudio offers four plans: Free, Starter, Growth and Pro. The features, limits and current prices of each plan are shown on our pricing page at elastudio.app/pricing and in your dashboard, and they form part of these terms.

  • Free has usage limits (at the time of writing: 1 location, 1 room, 1 staff login for the owner, 20 active members a month, 3 active passes and 1 membership (a membership that renews automatically and is charged to your member’s card needs Starter, Growth or Pro). If you reach a limit we tell you which one and offer an upgrade. We never delete or hide anything you already created because you reached a limit. If you are over a Free limit (for example after a paid plan ends), what you created stays visible and usable, but you cannot add more of that item until you upgrade or are back under the limit.
  • Starter free trial (14 days). Starter comes with a 14-day free trial:
    • The trial applies to Starter billed monthly and to Starter billed yearly. You choose the billing period and enter a payment card when you sign up. Before you start, we show you the date and time the trial ends and the amount of the first charge, and we confirm them by e-mail. Nothing is charged during the 14 days. Your bank may show a temporary check of the card, which is not a charge.
    • If you cancel before the trial ends, you pay nothing and your studio moves to Free. You can cancel in your dashboard in a few clicks.
    • We e-mail you (through Stripe) a reminder at least 3 days before the trial ends, with the date and amount of the first charge and a link to cancel.
    • If you do not cancel, the trial converts into a paid Starter subscription when it ends, 14 days after you started it (the exact date and time are shown when you sign up and in your dashboard). We then charge the first payment for the billing period you chose, and the plan renews automatically under section 4.
    • If you switch to Growth or Pro during the trial, the trial ends and the first charge for the new plan is made straight away.
    • One trial per studio. We may refuse a trial if the studio, its owner or the payment card has already had one.
    • Growth and Pro have no free trial.
  • Changes to plans. We may change the features of a plan. During a paid period we will not remove a feature listed for your plan on the pricing page when you subscribed or last renewed. If a change reduces your plan in a significant way, we will give you at least 30 days’ notice, and you may cancel and get a pro-rated refund of any prepaid fees for the unused period.

4. Fees and payment

  • Automatic renewal and card authority. Paid plans are billed in advance, monthly or yearly, through elastudio’s own Stripe account, and renew automatically at the end of each period at the price then in effect for your plan (subject to the notice in “Price changes”), until you cancel. By subscribing, including by starting the Starter trial, you authorise us (through Stripe) to charge your saved payment method for the first payment when it is due (after the trial, if you have one) and at each renewal. For yearly plans we will remind you by e-mail at least 30 days before renewal. The price, currency and billing period are shown before you subscribe. Yearly plans cost less than twelve monthly payments of the same plan in the same currency; the exact yearly price and the saving are shown on the pricing page and before you subscribe.
  • How plans are paid. elastudio’s own plans are paid by card through Stripe, including card wallets such as Apple Pay and Google Pay where Stripe offers them. Pix and other payment methods are not accepted for elastudio’s own plans. Your members can still pay your studio by Pix (see section 5).
  • Currency. You see and pay prices in the currency of your billing country: Brazilian reais (R$) in Brazil, Canadian dollars (CA$) in Canada and US dollars (US$) elsewhere. The exact amount is shown before any charge.
  • Taxes. In Canada, prices are shown before sales tax, and the GST/HST (Canada’s federal and harmonized sales tax) or other sales tax for your province is added at checkout and on your invoice. We are registered for GST/HST, and our registration number is shown on your invoices. Outside Canada, no Canadian sales tax is added. You pay any taxes of your own country that apply to you, such as IOF (Brazil’s tax on foreign-currency transactions). Fees are paid in full without deduction: if the law of your country requires you to withhold tax on payments to us, you pay that tax yourself, on top of the price, so that we receive the full price.
  • Price changes. We will tell you at least 30 days before a price increase applies to you. It takes effect at your next renewal after that notice. If you do not agree, you can cancel before it takes effect.
  • Cancellation. You can cancel at any time from your dashboard or by e-mail to support@elastudio.app. To avoid the next charge, cancel before the renewal date and time shown in your dashboard. Monthly plans run until the end of the billing month already paid, with no refund for part of a month (except the first-payment refund below). Yearly plans run until the end of the year already paid, except for the yearly refund below. When a paid plan ends, your studio moves to Free and your data stays.
  • Refunds.
    • First payment of a monthly plan: you may cancel within 7 calendar days after your studio’s first charge for a monthly plan is paid and get a full refund of that charge. This applies once per studio. For Starter with a trial, this is the first charge after the trial. Your studio then moves to Free straight away.
    • Yearly plans: if you cancel within 30 calendar days after a yearly charge is paid (the charge that starts a year of your plan: the first one, including the first charge after a Starter trial, or a renewal), we refund that charge in full, including any sales tax charged on it, and your studio moves to Free straight away. Cancelling within those 30 days ends the plan at once, with this refund. If you cancel by e-mail, the day we receive your e-mail counts. A separate charge during the year for a change of plan or an add-on does not start a new 30 days; if you were charged such a separate amount during that year, write to support@elastudio.app within the same 30 days and we will also refund that amount in full. After those 30 days there is no refund under this paragraph, and the plan runs to the end of the year paid.
    • No second refund after a refunded cancellation: if your studio received the 7-day or the 30-day refund above, a plan you subscribe to after that refunded cancellation, including its renewals, does not get either of those refunds. This does not affect the other refunds in sections 3, 11, 14 and 15, or any refund the law gives you.
    • Refunds go back to the card that was charged. Taxes or fees your bank charges you, such as IOF, are between you and your bank. Other refunds apply only where these terms or the DPA expressly give them, or where the law requires.
  • If a payment fails. If a payment for your plan fails (including the first charge after a free trial, or a renewal), we tell you by e-mail and Stripe retries the payment. Your plan keeps working while Stripe retries. If it is still unpaid 7 days after it was due, the paid subscription is cancelled and your studio moves to Free:
    • all your data stays, nothing is deleted, and your existing members, passes and memberships keep working;
    • actions that would go over a Free limit are blocked (for example, new members joining beyond the Free limit of active members that month, or creating more passes);
    • staff logins are blocked: only the studio owner can sign in;
    • the unpaid charge is cancelled and you do not owe it; you pay again only if you choose to subscribe again;
    • when you subscribe again, the plan you choose and its limits and staff logins come back straight away.
  • Add-ons (for example extra staff logins or extra locations) are priced on the pricing page and follow the same billing rules as your plan. One-off services (for example a done-for-you migration) are priced, paid and refunded as stated in a written quote.

5. No cut of your sales; your payments are yours

  • elastudio takes no commission, application fee or percentage of your sales, on any plan. Our only charge is the plan price and any add-ons you choose, plus any tax described in section 4.
  • To take card and Pix payments, you connect your own Stripe account (a Standard account, with its own Stripe Dashboard) to elastudio. Your members pay you directly into your Stripe account. You have a direct agreement with Stripe (the Stripe Services Agreement) and you pay Stripe’s fees directly to Stripe. Stripe, not elastudio, holds and pays out your money, and you are responsible to Stripe for refunds, disputes and any negative balance.
  • By connecting your Stripe account, you authorise elastudio to access your Stripe account information and to create products, prices, customers, payments, invoices, refunds and related records in your Stripe account on your behalf, as needed to provide elastudio and as you direct through the dashboard. You can revoke this by disconnecting.
  • You are the merchant of record for your sales. You are responsible for your prices, receipts, invoices, tax documents (such as NFS-e in Brazil), refunds, chargebacks and disputes with your members.
  • Payments recorded by hand (cash, or Pix received directly to your bank and “marked as paid”) are your responsibility to confirm.
  • You may disconnect your Stripe account at any time from Stripe. Online payments will stop working in elastudio until you connect again.

6. Your data and your members’ data

  • You own your studio’s data, including your member list, bookings, sales records, content, logos and photos (“Studio Data”). You give us a limited permission to host, copy, display and process Studio Data only to provide elastudio to you, to keep it secure, and as the DPA allows.
  • For your members’ personal data, you are the controller and elastudio is the processor (operator under Brazil’s LGPD). The DPA sets out how we handle it, including security, sub-processors, international transfers (with the ANPD standard contractual clauses for Brazil) and breach notices. The DPA prevails over these terms on personal data.
  • Your responsibilities as controller. You must: have a lawful basis for the member data you collect; show your members a privacy notice (we provide a template you must complete and adapt); collect health notes only where needed for safe teaching and with the member’s consent, recorded in elastudio; register members under 18 only through staff, with a parent’s or guardian’s consent recorded; send marketing only with consent; and answer your members’ requests about their data (we give you tools to export and delete it).
  • Export. You can export your Studio Data (CSV and JSON) at any time while your account is active and for 30 days after the account is closed (by you or by us).
  • We do not sell Studio Data, use it to advertise, or use your members’ data for our own purposes. We may use aggregated statistics about how elastudio is used (for example, how many bookings are made or which features are used), which cannot identify you, your studio or any person, to run and improve elastudio.

7. Support

Support depends on your plan:

Plan Support
Free and Starter Self-service help centre, plus e-mail for setup, billing, privacy and security questions
Growth As Starter. We plan to add an AI support assistant, but it is not available yet and we do not promise a launch date
Pro A person answers your e-mail on any question. Target: a reply from a person within 2 business days. We plan to add an AI support assistant, but it is not available yet and we do not promise a launch date

A planned feature is not part of your plan until it launches and appears on the pricing page. Your plan price covers only the features available when you subscribe or renew.

Support is provided in English and Brazilian Portuguese only, including for studios that use elastudio or read our website in Spanish, on business days (Monday to Friday, excluding public holidays in Ontario), between 9:00 and 17:00 Eastern Time. The Pro reply time is a target, not a guarantee, and missing it does not give a right to a refund or credit. All plans can report bugs and security issues at any time, and we will respond to security, privacy and billing problems on every plan. AI answers can make mistakes. The help centre’s AI assistant, and any AI support assistant we launch later, give general help only and have no authority to change these terms, your plan or your price, or to give refunds. If an answer seems to promise something about your plan, price or a refund, ask a person to confirm it in writing (by e-mail to support@elastudio.app) before you rely on it.

8. Acceptable use

You must not, and must not let anyone else:

  • use elastudio for anything illegal, fraudulent or harmful, or to sell anything you are not allowed to sell;
  • use elastudio’s payment features for any business or product that Stripe’s terms or its restricted businesses list do not allow;
  • send spam, or send marketing messages to members who have not agreed to receive them;
  • upload content that infringes someone else’s rights, or that is hateful, harassing, sexually exploitative or violent;
  • upload malware, try to break into elastudio, another studio’s data or our providers’ systems, or test our security without our written permission (to report a security problem, write to security@elastudio.app and do not access data that is not yours);
  • overload elastudio, scrape it, or bypass plan limits or technical restrictions;
  • copy, resell, sublicense or white-label elastudio as your own software, or use it to build a competing product;
  • collect sensitive personal data (such as health data) beyond what you need, or any data from members without telling them;
  • remove, hide or unlink the elastudio logo that links to elastudio.app, which appears on member pages and stays on every plan.

We may remove content or suspend access that breaks this section (see section 11).

9. Our responsibilities

  • We will provide elastudio with reasonable skill and care, keep it secure as described in the DPA, and keep backups as described in Annex 2 of the DPA.
  • elastudio relies on third-party services (such as Cloudflare, Stripe, Google and AI providers). Except for our duties for sub-processors under the DPA, and to the extent the law allows, we are not responsible for their outages or for changes they make, though we will work to limit the effect on you.
  • The member privacy notice and terms templates we provide are starting points, not legal advice. You are responsible for adapting them to your studio.
  • We aim to keep elastudio available at all times, but we do not guarantee uninterrupted service. We may need planned maintenance. We will try to tell you in advance of planned maintenance that affects bookings.
  • We improve elastudio continuously, so features may change. We will not make changes that materially reduce the security of your Studio Data.

10. Intellectual property and feedback

elastudio, its software, design, brand and documentation belong to us or our licensors. These terms give you a right to use elastudio while you have an elastudio account; they do not transfer any ownership. If you send us ideas or feedback, we may use them without any obligation to you. We will not name you as a customer in public without your permission.

11. Suspension, cancellation and what happens to your data

  • You can cancel at any time from your dashboard or by e-mailing support@elastudio.app. Cancelling a paid plan moves you to Free when the plan ends under section 4; to close your account completely, ask us or use the option in your dashboard.
  • We can suspend your account immediately if you seriously break section 8, if your use puts elastudio, other studios or members at risk, or if the law requires it. Where reasonable, we will tell you first and give you a chance to fix the problem. During a suspension you can still export your Studio Data, unless the law or a security risk prevents it.
  • We can end these terms for any reason with 60 days’ notice, and by notice if you seriously break these terms and do not fix it within 15 days of our notice, or immediately if the breach cannot be fixed. If we end them without cause, we refund any prepaid fees for the unused period.
  • After the account is closed, you have 30 days to export your Studio Data. After that we delete it from our live systems, and it is removed from backups as they expire (within 30 days), except records we must keep by law (for example our own invoices to you).

12. Warranties

Apart from what these terms say expressly, elastudio is provided “as is” and “as available”. To the extent the law allows, we do not give other warranties, express or implied, including that elastudio is fit for a particular purpose or error-free. You are responsible for your classes, teaching, health and safety at your studio, your policies with members, and your legal and tax obligations.

13. Limits on liability

Please read this section carefully. It limits what you can recover from us. These limits apply to the extent the law allows.

  • Cap. Our total liability for all claims connected with elastudio in any 12-month period is limited to the greater of: (a) the fees you paid us for elastudio in the 12 months before the event giving rise to the claim; and (b) CA$100 (one hundred Canadian dollars). Fees paid in another currency are converted to Canadian dollars at the Bank of Canada rate on the date of payment.
  • Excluded losses. Neither of us is liable for indirect or consequential losses, or for loss of profit, revenue, business opportunity or goodwill, even if foreseeable.
  • What the limits do not cover. Nothing in these terms limits liability for fraud, gross negligence or wilful misconduct, for death or personal injury caused by negligence, for your payment obligations, or for anything else that cannot be limited by law.
  • Indemnities. The exclusion of indirect losses does not reduce what either of us must cover under section 14. Our obligations under section 14 are subject to the cap above.
  • Data protection. The limits in this section also apply to claims between us about personal data, as the DPA says. They do not reduce anyone’s rights under data protection law (for example, data subjects’ rights under LGPD article 42), and they do not apply to the ANPD standard contractual clauses in Annex 3 of the DPA.

14. Indemnity

You will cover our reasonable costs (including legal fees) of any claim brought by a third party, including your members or a regulator, that arises from your Studio Data, your sales and dealings with your members, or your breach of these terms or of the law, except to the extent the claim is caused by our breach of these terms or the DPA. We will tell you promptly about such a claim and let you take part in handling it. This applies to the extent the law allows.

We will cover your reasonable costs of any third-party claim that elastudio itself (not your content) infringes that party’s intellectual property rights, and we may change elastudio to avoid the infringement or, if that is not reasonable, end these terms and refund prepaid fees for the unused period.

15. Changes to these terms

We may update these terms. We will post every version with its date and keep earlier versions available. For changes that materially affect your rights, fees or data, including any change to sections 4, 5, 6, 13, 14 or 16, we will give at least 30 days’ notice by e-mail and in the dashboard, unless the law requires a change sooner. If you do not agree, you can cancel before it takes effect and get a pro-rated refund of prepaid fees for the unused period. Continuing to use elastudio after the change takes effect means you accept it.

16. Governing law and disputes

  • These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.
  • The courts of Ontario, Canada, have exclusive jurisdiction, except that either of us may seek urgent relief in any competent court, and a studio in Canada may bring a claim within the small claims limit of its own province in that province’s small claims court.
  • Mandatory local law. If a law that cannot be waived by contract applies to you (for example, where a studio in Brazil is treated as a consumer under Brazil’s Consumer Defence Code, the Código de Defesa do Consumidor, as can happen with an individual teacher or a small studio), that law prevails over any part of these terms that conflicts with it, including sections 3, 4, 13, 14 and 15, and these terms do not take away the rights or the choice of court that law gives you. Brazil’s LGPD applies to the processing of your members’ data in Brazil regardless of the choice of law in these terms, and the ANPD standard contractual clauses in the DPA are governed by Brazilian law and Brazilian courts, as those clauses say.
  • Before going to court, please write to us at support@elastudio.app so we can try to solve the problem within 30 days.

17. General

  • Notices. We send notices to the e-mail address of your studio owner account. You send notices to support@elastudio.app and, for formal legal notices, also by post to BRITO.AI (elastudio), 73 Watt Street, Guelph, Ontario N1E 6W6, Canada.
  • Language. These terms are available in English and Brazilian Portuguese. For studios in Brazil, the Portuguese version prevails; otherwise the English version prevails. We may publish translations into other languages, such as Spanish, for information only; a translation is not binding and does not prevail, unless a law that cannot be waived by contract requires otherwise (section 16). elastudio does not accept studios in Quebec until a French version is available.
  • Assignment. You may not transfer this agreement without our consent. We may transfer it to a successor of the elastudio business, provided the successor takes on our obligations and we give you notice.
  • Force majeure. Neither of us is responsible for failures caused by events beyond reasonable control (for example, large internet or provider outages, natural disasters or government action). This does not excuse paying fees already due.
  • Confidentiality. Each of us will keep the other’s non-public business information confidential, use it only for this agreement, and protect it with reasonable care, during the agreement and for 3 years after. This does not cover information that is public, already known, independently developed or that the law requires to be disclosed. Personal data is covered by the DPA.
  • Relationship. We are independent businesses. Neither of us is the other’s agent, partner or employee.
  • No waiver. Not enforcing a term once does not give up the right to enforce it later.
  • Entire agreement. These terms, the DPA, the plan details on the pricing page as shown when you subscribed or last renewed, and any written quote we have accepted are the whole agreement between us about elastudio. If a part is found unenforceable, the rest stays in force.
  • Survival. Sections 4 (unpaid fees and refunds), 5 (merchant of record), 6, 10, 11 (data after the account is closed), 12, 13, 14, 16 and 17 (including confidentiality) continue after these terms end.
  • Contact. support@elastudio.app.
  • elastudio™ and the elastudio logo are our trademarks.
  • The elastudio platform, its apps, app icon, screenshots, website and documentation are protected by copyright. © 2026 Edilson Brito Bezerra Junior, operating as BRITO.AI.
  • These terms do not give you a licence to use our trademarks, except to say truthfully that your studio uses elastudio. Other names and logos that appear in elastudio (for example Stripe, Apple and Google) belong to their owners.
  • This section continues after these terms end.
